TERMS AND CONDITIONS
These ‘DocTrace’ Services Terms and Conditions (“Terms”) govern access to and use of the
DocTrace (“DocTrace,” “we” or “us”) web sites and services (collectively, the “Site”) by site
visitors (“Site Visitors”) and by individuals or entities who purchase/use services (“DocTrace
Services”) or create an account (“Account”) and their Authorized Users (collectively, “Users”).
Users and Site Visitors may be referred to in these Terms as “you” and “your” as applicable.
Please note that we may modify these Terms as further described in the amendments section
below, so you should make sure to check this page from time to time. Our Privacy Policy
explains how we collect and use your information, our Acceptable Use Policy outlines your
responsibilities when using our Services, and our Service-Specific Terms contains terms that may
be applicable to particular services. By using our Services, you’re agreeing to be bound by these
Terms, our Privacy Policy, our Acceptable Use Policy, and the Service-Specific Terms.
By accessing our site or downloading any material from the site, you agree to abide by the terms
and conditions of the site, failing which, you are not authorized to use the site and cease using
the site.
ARBITRATION NOTICE: THESE TERMS AND CONDITIONS CONTAIN A BINDING ARBITRATION
PROVISION, AND A WAIVER OF JURY TRIALS AND CLASS ACTIONS AS SET FORTH BELOW –
PLEASE READ THESE SECTIONS CAREFULLY.
1. OVERVIEW OF THE DOCTRACE COMPANY
DocTrace provides a platform and software to allow sharing and editing of
documents as permitted by the Grantor (the creator or the sender of the document)
to the Grantee, who is granted access only after the sign up process. Depending on
the discretion of the Grantor, the Grantee can view or edit the document.
2.UPDATES AND COMMUNICATIONS
2.1 We may revise these Terms or any additional terms and conditions that are relevant to a
particular DocTrace Service from time to time to reflect changes in the law or to the DocTrace
Services. We will post the revised terms on the Site with a “last updated” date. PLEASE REVIEW
THE SITE ON A REGULAR BASIS TO OBTAIN TIMELY NOTICE OF ANY REVISIONS. IF YOU
CONTINUE TO USE THE DocTrace SERVICES AFTER THE REVISIONS TAKE EFFECT, YOU AGREE TO
BE BOUND BY THE REVISED TERMS. You agree that we shall not be liable to you or to any third
party for any modification of the Terms.
2.2 You agree to receive all communications, agreements, and notices that we provide in
connection with any DocTrace Services (“Communications”), including, but not limited to,
Communications related to our delivery of the DocuSign Services and your purchase of or
subscription to the DocTrace Services, via electronic means, including by e-mail, text, in-app
notifications, or by posting them on the Site or through any DocTrace Services. You agree that
all Communications we provide to you electronically satisfy any legal requirement that such
Communications be in writing or be delivered in a particular manner and you agree to keep your
Account contact information current.
3. ACCOUNT REGISTRATION AND USE
3.1 Users (Grantor or Receiver) may need to register for an DocTrace account to place
orders or to access or use DocTrace Service. Account information must be accurate,
current, and complete, and will be governed by DocTrace’s Privacy Policy. Users agree to
keep this information up-to-date so that DocTrace may send notices, statements, and
other information by email or through the Service. Users must ensure that any
passwords, and other access credentials for the DocTrace Service are kept strictly
confidential and not shared with any unauthorized person.
3.2 Provider sign up Providers can sign up on the platform by directly visiting the
marketing website or they may come onboard with an invitation link.During sign up a
user wanting to be a Grantor will be asked to confirm the domain of his organization
by adding a meta tag in the backend. They shall also sign a general agreement
attesting that they have the authority to issue documents from a particular
organization. [This can change as per suggestions by the marketing team]Grantors
will not be able to access the platform until and unless their profile has been verified
by DocTrace admin. Verification time upper limit is 48 hours. Once the Grantor is
verified, a membership service Grantor certificate along with a public and a private
key is issued from the Grantor organization.
3.3 Grantee sign up Grantees will sign up on the platform as and when they receive
their first ever document sent to them by the Grantor through email.It is going to be
a locked link and the Grantee will have to sign up in order to view it. A membership
service Grantor certificate along with a public and a private key is issued from the
Grantee organization on fabric network. Receivers can log in through the web or
using DocTrace mobile application.
4.USAGE AND ACCESS RIGHT
4.1 LIMITED LICENSE: Upon your acceptance of these Terms, we grant you a limited, non-
exclusive and non-transferable license to access and use the Site for your internal business
purposes and only as expressly permitted in these Terms and any applicable paid Customer plan
that enables registration of an Account for the use of a DocTrace Service (“Subscription Plan”)
when applicable. You shall not use or permit use of the Site for any illegal purpose or in any
manner inconsistent with the provisions of these Terms. DocTrace grants you permission on a
non-exclusive, non-transferable, limited basis to display, copy, and download content and
materials on the Site provided that you: (a) retain all copyright and other proprietary notices on
the content and materials; (b) use them solely for personal or internal, non-commercial use or in
accordance with any applicable Subscription Plan; and (c) do not modify them in any way. Each
discrete Subscription Plan includes restrictions and requirements that outline the features that
Customer will be able to access. Any violation by you of the license provisions contained in this
Section may result in the immediate termination of your right to use the Site, as well as
potential liability for copyright infringement or other claims depending on the circumstances.
5. OWNERSHIP AND FEEDBACK
5.1 User Data. As between the parties, User retains all right, title, and interest
(including any intellectual property rights) in and to the content and documents that
User uploads into the DocTrace Service . User hereby grants DocTrace a non-exclusive,
worldwide, royalty-free right and license to collect, use, copy, store, transmit, modify,
and create derivative works of the User Data to the extent necessary to provide the
DocTrace Service or as otherwise permitted in these Terms. Customer expressly
authorizes DocTrace to use and processUser Data (including any Confidential
Information contained therein) as described in these Terms and in the DocTrace Privacy
Policy, which provides for, but is not limited to, delivering and sharing of content and
documents as directed by Customer’s use of the DocTrace Services with third parties
(e.g. individuals/legal entities) that User invites to view such contents and documents.
These licenses and permissions extend to our affiliates and trusted third parties we work
with.
5.2 Aggregate/Anonymous Data. Customer agrees that DocTrace will have the right to
generate aggregate or anonymous data and that aggregate or anonymous data is owned
by us, which we may use for any business purpose during or after the term of this
Agreement (including without limitation to develop and improve DocTrace’s products
and services and to create and distribute reports and other materials). For clarity, we
will only disclose aggregate or anonymous data externally in a de-identified
(anonymous) form that does not identify Data Admin, Grantor, Grantee and that is
stripped of all persistent or personal identifiers. Customers are not responsible for
DocTrace’s use of aggregate or anonymous data.
5.3 Intellectual Property. The Site contains materials that are proprietary and are
protected by copyright laws, international treaty provisions, trademarks, service marks,
and other intellectual property laws and treaties.
The Site is also protected as a collective work or compilation under copyright and other
laws and treaties. You agree to abide by all applicable copyright and other laws, as well
as any additional copyright notices or restrictions contained on the Site. You
acknowledge that the Site contains original works that have been developed, compiled,
prepared, revised, selected, and arranged by DocTrace and others through the
application of methods and standards of judgment developed and applied through the
expenditure of substantial time, effort, and money and which constitute valuable
intellectual property of DocTrace and such others. All present and future rights in and to
trade secrets, patents, designs, copyrights, trademarks, database rights, service marks,
know-how, and other intellectual property or other proprietary rights of any type,
Documentation, any improvements, design contributions, or derivative works thereto,
and any knowledge or process related thereto, including rights in and to all applications
and registrations relating to the Site, shall, as between you and DocTrace, at all times be
and remain the sole and exclusive property of DocTrace.
5.4 Feedback. If Customer elects to provide any suggestions, comments,
improvements, information, ideas or other feedback or related materials to DocTrace
(collectively, “Feedback”), Customer hereby grants DocTrace a worldwide, perpetual,
non-revocable, sublicensable, royalty-free right and license to use, copy, disclose,
license, distribute, and exploit any Feedback in any format and in any manner without
any obligation, payment, or restriction based on intellectual property rights or
otherwise. Nothing in these Terms limits DocTrace’s right to independently use, develop,
evaluate, or market products, whether incorporating Feedback or otherwise.
6. USER ROLES AND RESPONSIBILITIES
DocTrace Admin
a) Admin panel will consist of no sign up. The super admin will be provided with the
credentials by the developers once the platform is built. This will be changed after first
login.
b) The super admin will be allowed to add their own respective teams under the team
management section.
c) The super admin can onboard admin/ users by entering their email id in user
management. They can also be assigned to seperate teams.
d) Users will be sent an invite link to the platform, through which they can create their id
and password to access it.
e) Users can be assigned roles and responsibilities, so that they are only allowed to
perform or view a subset of the platform depending upon their designation.
f) Users can also be assigned a few Grantors under Grantor management.
g) Users can view no of documents exchanged, no of Grantees, approval status, Grantor
organization information, subscriptions, paid invoices etc, under the Grantor
management.
h) DocTrace will have the authority to approve a Grantor depending upon the domain and
the general agreement using the admin panel.
i) Each Grantor will be assigned a user from admin as a relationship manager during the 48
hours of verification time taken.
j) A relationship manager will be completely responsible for the Grantor’s experience on
the platform, they can issue offers, promo codes and also increase the subscription
tenure in case of a dispute.
k) If a Grantor is using our platform with the external API support keys. The admin can
monitor the number of requests fired for creating and updating documents.
l) Admin will also be able to view basic Grantee information with certain figures like the
total number of documents owner or the size of documents.
m) Admin will not be able to view the documents owned by Grantees.
n) Grantor and Grantees will be able to connect to the admin through help and support, a
ticket will be raised with open source integration of Zendesk.
o) Standard report generation to understand the efficiency of the organization and the
team will be visible and accessible by super admin and admin. Eg: document vs time
graph, team vs ticket closed and users vs tickets closed.
p) Admin will be able to view the internal working of the blockchain in the backend.
Information like number of blocks, transactions, organizations, peers and channels
displayed using hyperledger explorer and updated in real time.
q) Admin has the right to define metadata fields which will be mandatory to be filled while
creating any document. Admin can update these key values.
r) Every DocTrace admin user will have a profile management where they can change their
existing information. They will not be allowed to change their email.
a) Grantor
a) The DocTrace marketing team will come up with a strategy to invite Grantor
organizations to complete the onboarding on our platform using promo codes and mass
email marketing.
b) Grantors can sign up on the platform by directly visiting the marketing website or they
may come onboard with an invitation link.
c) During sign up a user wanting to be a Grantor will be asked to confirm the domain of his
organization by adding a meta tag in the backend. They shall also sign a general
agreement attesting that they have the authority to issue documents from a particular
organization. [This can change as per suggestions by the marketing team]
d) Grantors will not be able to access the platform until and unless their profile has been
verified by DocTrace admin. Verification time upper limit is 48 hours.
e) The Grantor admin will be allowed to add their own respective teams under the team
management section. eg country wise division for the teams.
f) The Grantor admin can onboard admin/ users by entering their email id in user
management. They can also be assigned to seperate teams.
g) Users will be sent an invite link to the platform, through which they can create their id
and password to access it.
h) Users can be assigned roles and responsibilities, so that they are only allowed to
perform or view a subset of the platform depending upon their designation.
i) The Grantor will have a create template feature under which they can define the key
attributes for a template to be asked during document creation.
j) A template can consist of all kinds of data types including static text and thumbnails.
k) If the template type is not an acceptance document, a Grantor will be able to link the
template with an already created acceptance template. They can also be allowed to
create both the templates at the same time.
l) Creating a document to be sent to a single/ multiple Grantee will require them to add
the metadata field values made compulsory by DocTrace admin and also add the
template field values.
m) If a thumbnail is not uploaded by the Grantor, the backend code will be responsible to
attach a predefined thumbnail based upon the document type.
n) Grantors will be able to add and delete tags for a particular document.
o) Documents can be searched on the basis of tags, Grantee, date, templates etc
p) Documents can also be sorted based upon the status, dates and meta fields
q) Grantors can use the platform as a service(PaaS) or software as a service(SaaS), the
subscription will be applied respectively.
r) External API support will be provided in the form of keys to developers if the Grantor
decides to use our platform from their own application.
s) API dashboard and analytics will have information related to number of requests, kind of
requests and other data defining it to track the usage and to abide by the subscriptions.
t) Grantors will have an option to upload their company's logo in order to change the
branding on our frontend server.
u) Grantors can update, view and update the blockchain ledger as and when required.
v) Standard report generation to understand the efficiency of the organization and the
team will be visible and accessible by super admin and admin. Eg: document vs time
graph, team vs documents and users vs documents.
w) Every Grantor admin/ user will have a profile management where they can change their
existing information. They will not be allowed to change their email.
b) Grantee
a) Grantees will sign up on the platform as and when they receive their first ever document
sent to them by the Grantor through email.
b) It is going to be a locked link and the Grantee will have to sign up in order to view it.
c) Grantees can log in through the web or using DocTrace mobile application.
d) Grantee will have a dashboard in which they will be able to view all the documents
segregated by status, eg: accepted, sent for update and favourites
e) Grantees will be able to add and delete tags for a particular document.
f) Documents can be searched on the basis of tags, Grantor, date, templates etc.
g) Documents can also be sorted based upon the status, dates and metadata fields.
h) Multiple documents by a Grantor will not be visible as a notification to the Grantee until
and unless the first document request was accepted. [Will act as a handshake]
i) Grantee can accept a document, reject a document or send it back for update.
j) Grantees can share the documents owned by them to another user who may or may not
be on the platform, or the document can also be made public to be shared on social
media.
k) Document that is not made public but shared to a particular user will need to sign up in
order to view it.
l) Shared documents will be visible under the shared with me tab.
m) Grantees will have an option to remove any document from view, this will just send the
document to archives.
n) Grantees will have an option to change the access of a document from public to
protected, under the given circumstances the document will no longer be visible to
anyone under shared with me tab.
o) Grantees can mark a document as favourite to have a better overall navigation.
p) Grantees can use help and support to raise queries and get support from DocTrace
admin staff.
q) Every Grantee user will have a profile management where they can change their existing
information. They will not be allowed to change their email.
7. PAYMENTS AND SUBSCRIPTIONS
7.1 SUBSCRIPTION OPTIONS: Grantors can subscribe to two types of subscriptions, 1) A
simple subscription to the Grantors, to use it as a platform and select a plan as per their
needs. 2) DocTrace API, to use it as a software and select the plans as per their needs.
DocTrace does not guarantee that your particular Subscription Plan will be offered
indefinitely. The subscription is charged primarily to the Grantor, the Grantee may or
may not have a subscription plan. We reserve the right to change the prices, features, or
options included in a particular Subscription Plan without notice, provided that such
changes shall not take effect until your next applicable subscription term.
7.2 RECURRING CHARGES AND UPGRADES: When you purchase a Subscription Plan, you
must provide accurate and complete information for a valid payment method that you
are authorized to use. You will be billed for your Subscription Plan either through the
payment method you provide, such as a credit card etc.. Customers must promptly
notify DocTrace of any change in its invoicing address and must update its Account with
any changes related to its payment method. BY COMPLETING REGISTRATION FOR A
SUBSCRIPTION PLAN, CUSTOMER AUTHORIZES DOCtrace OR ITS AGENT TO CHARGE ITS
PAYMENT METHOD ON A RECURRING (E.G. MONTHLY OR YEARLY) BASIS
(“AUTHORIZATION”) FOR: (a) THE APPLICABLE SUBSCRIPTION PLAN CHARGES; (b) ANY
AND ALL APPLICABLE TAXES; AND (c) ANY OTHER CHARGES INCURRED IN CONNECTION
WITH CUSTOMER’S USE OF THE DOCTRACE SERVICES.
7.3 Late Fees & Collection Costs: Late payments may be subject to a service charge.
You agree to reimburse DocTrace for any costs or expenses incurred by DocTrace to
collect amounts that remain unpaid after the due date. Amounts due to DocTrace may
not be withheld or offset by you against amounts due for any reason.
7.4 No Refunds. Subscription and usage or overage fees (and any other fees associated
with the services, including higher subscription fees for upgrades) are non-refundable
and non-creditable, except where required by law. DocTrace subscriptions may be
cancelled, and such cancellations take effect at the end of your then-current
subscription term.
8 . TERM AND TERMINATION
8.1 These Terms are effective until all Subscription Terms for the DocTrace Services
have expired or are terminated as expressly permitted herein.
8.2 Subscription Term and Renewals. Customer agrees to pay applicable fees for the
entire Subscription Term. Customers cannot cancel or terminate a Subscription Term
except as expressly permitted by Section 9.4 (Termination for Cause). If no subscription
start date is specified on the applicable order form, the subscription starts when
Customer first obtains access to the applicable DocTrace Service. Each Subscription Term
will automatically renew for additional successive periods equal to the initial
subscription unless: (i) otherwise stated on the applicable order form; or (ii) either party
gives written notice of non-renewal at the pre described time frame. Pricing for any
Subscription Term renewal, new order form, or order form changes will be at DocTrace’s
then-applicable rates.
8.3 Suspension of Service. DocTrace may suspend Customer’s access to the DocTrace
Services if: (i) Customer’s account is overdue; or (ii) Customer has exceeded its service
allocations / service limits. DocTrace may also suspend Customer’s access to the
DocTrace Services or remove Customer Data if it determines that: (a) Customer has
breached any portion of these Terms, or (b) suspension is necessary to prevent harm or
liability to other customers or third parties, or to preserve the security, stability,
availability or integrity of the DocTrace Service. DocTrace will have no liability for taking
action as permitted above. For the avoidance of doubt, Customers will remain
responsible for payment of fees during any suspension period under this Section 8.3.
However, unless these Terms have been terminated, DocTrace will cooperate with
Customer to promptly restore access to the DocTrace Service once we verify that
Customer has resolved the condition requiring suspension.
8.4 Termination for Cause. Either party may terminate these Terms, including any
related order form, if the other party: (i) fails to cure any material breach of these
Terms; (ii) ceases operation without a successor; or (iii) if permitted by applicable law,
seeks protection under any bankruptcy, trust deed, creditors’ arrangement,
composition, or comparable proceeding, or if any of these proceedings are instituted
against that party
8.5 Effect of Termination. Upon any expiration or termination of these Terms or an
order form: (i) Customer’s license rights terminate and it must promptly: (a) stop use of
the applicable DocTrace Service; (b) delete (or, at DocTrace’s request, return) any and all
copies of any DocTrace code, documentation, passwords or access codes, and any other
DocTrace Confidential Information in Customer’s possession, custody, or control; and (ii)
Customer’s right to access any Customer Data in the applicable DocTrace Service will
cease and DocTrace may delete the Customer Data . If DocTrace terminates these Terms
for cause as provided in Section 8.4 (Termination for Cause), any payments for the
remaining portion of the Subscription Term will become due and must be paid
immediately by the Customer. Except where these Terms specify an exclusive remedy,
all remedies under these Terms, including termination or suspension, are cumulative
and not exclusive of any other rights or remedies that may be available to a party.
9. WARRANTIES AND DISCLAIMER:
ALL DocTrace SERVICES, DOCUMENTATION, AND SITES ARE PROVIDED “AS IS” AND ON AN “AS
AVAILABLE” BASIS. NEITHER DOCTRACE NOR ITS SUPPLIERS MAKE ANY WARRANTIES, EXPRESS
OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF
MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
DOCTRACE MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE THAT DOCTRACE SERVICE
WILL MEET CUSTOMER’S REQUIREMENTS OR EXPECTATIONS, THAT CUSTOMER DATA WILL BE
ACCURATE, COMPLETE, OR PRESERVED WITHOUT LOSS, OR THAT DOCTRACE SERVICE WILL BE
TIMELY, UNINTERRUPTED OR ERROR-FREE. DOCTRACE DOES NOT GUARANTEE THAT SECURITY
MEASURES WILL BE ERROR-FREE AND WILL NOT BE RESPONSIBLE OR LIABLE FOR
UNAUTHORIZED ACCESS BEYOND ITS REASONABLE CONTROL. DOCTRACE WILL NOT BE
RESPONSIBLE OR LIABLE IN ANY MANNER FOR ANY CUSTOMER PROPERTIES, CUSTOMER DATA,
THIRD-PARTY PRODUCTS, THIRD-PARTY CONTENT, OR NON-DocTrace SERVICES (INCLUDING FOR
ANY DELAYS, INTERRUPTIONS, TRANSMISSION ERRORS, SECURITY FAILURES, AND OTHER
PROBLEMS CAUSED BY THESE ITEMS), FOR THE COLLECTION, OR THE USE AND DISCLOSURE OF
CUSTOMER DATA AUTHORIZED BY THESE TERMS. THE DISCLAIMERS IN THIS SECTION 11 WILL
APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. CUSTOMER AND SITE
VISITORS MAY HAVE OTHER STATUTORY RIGHTS, HOWEVER, ANY STATUTORILY REQUIRED
WARRANTIES UNDER APPLICABLE LAW, IF ANY, WILL BE LIMITED TO THE SHORTEST PERIOD AND
MAXIMUM EXTENT PERMITTED BY LAW.
10. INDEMNIFICATION OBLIGATIONS
10.1 Customer agrees to defend, indemnify, and hold DocTrace, our affiliates, officers,
directors, employees, suppliers, consultants, and agents harmless from any and all third
party claims, liability, damages, and costs (including, but not limited to, attorneys' fees)
arising from or related to, as applicable: (a) Customer’s access to and use of the Site; (b)
violation of these Terms by Customer or its Authorized Users, as applicable; (c)
infringement of any intellectual property or other right of any person or entity by
Customer; (d) the nature and content of all Customer Data processed by theDocTrace; or
(e) any products or services purchased or obtained by Customer.
10.2 DocTrace retains the exclusive right to settle, compromise and pay, without
Customer’s prior consent, any and all claims or causes of action which are brought
against us. DocTrace reserves the right, at Customer’s expense, to assume the exclusive
defense and control of any matter for which Customer is required to indemnify
DocTrace and Customer agrees to cooperate with our defense of these claims. Customer
agrees not to settle any matter in which we are named as a defendant and/or for which
Customer has indemnity obligations without our prior written consent. DocTrace will use
reasonable efforts to notify the Customers of any such claim, action or proceeding upon
becoming aware of it.
11. GENERAL.
11.1 Assignment. These Terms will bind and insure to the benefit of each party’s
permitted successors and assigns. Neither party may assign these Terms without the
advance written consent of the other party, except that DocTrace may assign these
Terms without consent to an Affiliate or in connection with a merger, reorganization,
acquisition, or other transfer of all or substantially all of its assets or voting securities.
Any attempt to transfer or assign these Terms except as expressly authorized under this
Section 15.1 will be void.
11.2 Notices. Any notice or communication under these Terms must be in writing.
Customers must send any notices under these Terms (including breach notices) to
DocTrace. DocTrace may send notices to the email addresses on Customer’s account or,
at DocTrace’s option, to Customer’s last-known postal address. We may also provide
operational notices regarding the DocTrace Service or other business-related notices
through conspicuous posting of the notice on DocTrace’s website or theDocTrace
Service. Each party consents to receiving electronic notices. DocTrace is not responsible
for any automatic filtering Customer or its network provider may apply to emails.
11.3 Publicity. Unless otherwise specified in an applicable Order Form, DocTrace may
use Customer’s name, logo, and marks to identify Customer as a DocTrace customer on
DocTrace’s website and other marketing materials.
11.4 Subcontractors. DocTrace may use subcontractors and permit them to exercise
the rights granted to DocTrace in order to provide the DocTrace Service and related
services. These subcontractors may include, for example, DocTrace’s hosted service and
email providers. However, subject to all terms and conditions of these Terms, DocTrace
will remain responsible for: (i) compliance of its subcontractors with the terms of these
Terms; and (ii) the overall performance of the DocTrace Services if and as required under
these Terms.
11.5 Subpoenas. Nothing in these Terms prevents DocTrace from disclosing Customer
Data to the extent required by law, subpoenas, or court orders, but DocTrace will use
good faith efforts to notify Customer where permitted to do so.
11.6 Independent Contractors. The parties to these Terms are independent contractors,
and these Terms does not create a partnership, joint venture, employment, franchise, or
agency relationship. Neither party has the power to bind the other or incur obligations
on the other party’s behalf without the other party’s prior written consent. Non-parties
do not benefit from and cannot enforce these terms. There are no third-party
beneficiaries to these Terms. Customer must not represent to anyone that it is an agent
of DocTrace or is otherwise authorized to bind or commit DocTrace in any way without
DocTrace’s prior written authorization.
11.7 Force Majeure. Neither party will be liable for any delay or failure to perform its
obligation under these Terms (except payment obligations) if the delay or failure is due
to causes beyond its reasonable control, such as a strike, blockade, war, act of terrorism,
riot, natural disaster, failure or reduction of power or telecommunications or data
networks or services, or government act.
11.8 Export Control. Customer acknowledges that the DocTrace Services,
documentation, website, and all related products, information, technology, and
software are subject to export control laws and regulations of the native country of
other jurisdictions. Customer is responsible for obtaining any required export or import
authorizations for use of the DocTrace Services.
